Terms of Service

Terms & Conditions

These terms explain how our consultation and software-related services are arranged, what we need from you, how payment works, and what happens if plans change. Please read them before confirming a booking or asking us to begin work.

1. Scope of These Terms

These terms apply to consultations and other services arranged directly with NAVITHOUGHTS LTD, including software planning, application development, technical work and related support where offered.

The exact work we will carry out depends on the service discussed with you. A quotation, proposal, statement of work or written confirmation may set out the project scope, deliverables, fees, timetable and any additional conditions.

If a specific written agreement conflicts with these general terms, the specific agreement will apply to the extent of that conflict. Nothing in these terms is intended to remove rights that cannot lawfully be excluded.

2. Enquiries and Service Requests

You can contact us to discuss a project or request a consultation. Please provide a clear description of what you need, your intended outcome, any relevant technical requirements and your preferred timescale.

We may ask follow-up questions before deciding whether the work is suitable for us to undertake. An enquiry or preliminary discussion does not, by itself, create a contract or guarantee that we will accept the project.

We will explain the proposed scope and fees before asking you to proceed with paid work. If your requirements change during the discussion, the proposed service, price or delivery schedule may need to be revised.

3. Consultation Bookings

Consultation appointments must be requested at least one full day in advance. Same-day bookings are not accepted. A requested date and time are not reserved until we confirm the appointment through our official communication channels.

Please check the confirmed date, time and consultation format carefully. If you need to change an appointment, contact us as early as possible. We will try to arrange another suitable time, subject to availability.

If you cannot attend, please tell us rather than simply missing the appointment. Cancellations, missed sessions and refund requests are handled under our Cancellation & Refund Policy and any specific conditions communicated before you confirm the booking.

4. When an Agreement Begins

Before work starts, we will confirm the service we have agreed to provide, the relevant fee and any important delivery arrangements. Depending on the project, acceptance may be recorded through written confirmation, approval of a proposal or another clear form of agreement.

Where advance payment is required, we may wait until the agreed payment has been received before scheduling or beginning the work. We will tell you about this requirement before you commit.

Any estimate of timing is based on the information available at the time. Unless a fixed deadline has been expressly agreed in writing, delivery dates are estimates and may change if the scope, required information or project circumstances change.

5. Services and Deliverables

We provide the services and deliverables described in the agreed proposal or service confirmation. Depending on the project, these may include consultation, planning, technical recommendations, software development, application updates, documentation or agreed digital files.

Work that is not included in the agreed scope is not automatically part of the original fee. If you request extra features, additional revisions, further research or ongoing support, we will discuss the additional work, price and likely timing with you before proceeding.

Unless expressly included in the agreement, our service does not include unlimited revisions, indefinite maintenance, third-party subscription fees, hosting charges, external licences or work carried out by another provider.

If a deliverable needs to meet particular technical requirements, please provide those requirements before work begins. We cannot reasonably assess an unstated requirement after delivery as though it had formed part of the original agreement.

6. Your Responsibilities

To help us complete the work properly, you agree to:

  • Provide accurate, relevant and reasonably complete project information.
  • Supply necessary materials, content, permissions, access and approvals in good time.
  • Review questions, drafts and deliverables within any agreed review period.
  • Ensure that materials you provide may lawfully be used for the project.
  • Tell us promptly if your requirements, priorities or intended use change.
  • Keep appropriate copies of your own records and important project materials.

If we cannot proceed because required information, access or approval has not been provided, the delivery schedule may need to move. If the delay creates additional work, we will explain any proposed change in cost before carrying out that extra work.

7. Fees and Payment

Fees are confirmed after we have reviewed your requirements and agreed the scope of work. The agreed price, payment deadline and any staged payment arrangements will be provided in writing before the relevant work begins.

We do not process online payments through this website. Once the service details have been agreed, payment instructions and booking arrangements will be sent through our official communication channels.

Available payment methods may vary depending on the service agreement and your requirements. Please use the payment instructions provided for your booking. If anything about the amount, due date or payment method is unclear, contact us before paying.

Unless otherwise agreed in writing, fees cover only the work expressly included in the agreed scope. Additional work, third-party costs and external licences will be discussed with you before any additional charge is incurred.

If a payment appears to have been duplicated or made in error, let us know promptly so we can check the transaction and correct any confirmed overpayment.

8. Changes to the Scope or Schedule

Projects can develop as more details become clear. If you ask for a change that affects the agreed work, we will explain how it may affect the price, deliverables or delivery date.

We will not treat additional work as approved simply because it has been discussed. Where a change affects the agreement, we will seek your confirmation before proceeding with the additional work.

If an external dependency, delayed approval or missing material affects the schedule, we will let you know when reasonably possible and discuss a revised timetable.

9. Review and Acceptance of Work

Where a project includes drafts, demonstrations or deliverables for review, please check them against the agreed requirements and let us know about any specific issues within the review period stated in the proposal or confirmation.

If no review period has been specified, please raise any concerns within a reasonable time after delivery. Describe the issue clearly and, where possible, explain which agreed requirement it relates to.

We will review reports of work that does not match the agreed scope and, where appropriate, discuss a correction or other reasonable solution. A request for new features or a different direction may be treated as additional work rather than a correction.

10. Cancellation and Refunds

If you need to cancel a consultation or project, contact us as soon as possible. The amount, if any, that can be refunded depends on the service, the stage of completion, the terms agreed before work began and any applicable legal rights.

A consultation that has already been delivered will normally not be refundable simply because you later change your mind. If work has started but is incomplete, we will consider the work already carried out and the outstanding portion when assessing any refund.

If we cancel a confirmed service and cannot provide a suitable alternative, we will refund payment for the part of the service we cannot deliver, subject to any applicable legal requirements.

Approved refunds will normally be initiated within 5 business days. After processing, please allow a further 5–10 business days for the funds to appear, depending on the bank or payment provider. Where a different legal deadline applies, we will follow that deadline.

Full details of cancellation eligibility, non-refundable circumstances, refund requests and processing times are set out in our Cancellation & Refund Policy.

11. Intellectual Property and Use of Deliverables

Each party retains ownership of materials, tools, software, methods and other intellectual property it owned or developed independently before the project, except where the parties agree otherwise in writing.

The rights applying to project-specific deliverables will be set out in the relevant proposal or service agreement where necessary. Unless otherwise agreed, payment for a service does not automatically transfer ownership of every pre-existing tool, library, framework or third-party component used in delivering it.

Third-party software, fonts, libraries, platforms and other licensed materials remain subject to their own terms. You are responsible for complying with the terms that apply to any third-party materials or accounts you choose to use, and we will identify relevant dependencies where reasonably possible.

You must not use deliverables in a way that infringes another person’s rights or breaches applicable law. Any transfer or licence of rights will be subject to the written terms agreed for the particular project.

12. Confidentiality and Project Information

We will take reasonable care when handling non-public information shared for a project and use it for providing the agreed services, communicating with you and meeting relevant administrative or legal requirements.

You should only provide information that is relevant to the work. Do not send passwords, full payment card details or other access credentials through ordinary email. Where access is necessary, we will discuss a suitable way to arrange it.

Confidentiality does not prevent either party from disclosing information where required by law or where the information is already lawfully public, was independently developed or was lawfully obtained from another source without a duty of confidence.

13. Personal Information

We use personal information to respond to enquiries, assess service requests, arrange bookings, deliver agreed work, handle payments and refunds, and maintain necessary business records.

Further information about the personal information we collect, how it is used, how long it is retained and the rights available to you is provided in our Privacy Policy.

14. Important Disclaimer

We take reasonable care to provide services in line with the agreed scope. However, recommendations and technical work depend on the information available, the requirements supplied and the circumstances of the project. Unless expressly agreed in writing, we do not guarantee a particular commercial result, increase in revenue, business performance or other outcome.

Software and digital systems may depend on third-party platforms, hosting providers, operating systems, external APIs, user configurations or services that we do not control. We cannot guarantee that those third-party services will remain available, unchanged, secure or compatible at all times.

You are responsible for deciding whether a proposed approach is suitable for your business, testing deliverables in your own environment where appropriate, maintaining backups of important data and ensuring that your use of a service complies with applicable laws and third-party terms.

Unless included in the agreed scope, our services do not replace independent legal, tax, financial, regulatory or other specialist advice. You should obtain such advice where your circumstances require it.

We are not responsible for loss or delay caused by inaccurate information, missing materials, late approvals, unauthorised changes by others or third-party failures, except where the law requires us to accept responsibility. This does not limit any liability that cannot lawfully be excluded.

15. Liability and Remedies

If we fail to provide a service in accordance with the agreement, please contact us and explain the issue. Where appropriate, we will review the work and discuss a reasonable remedy, which may include correcting an agreed item, completing outstanding work, arranging a replacement consultation or providing a refund where due.

To the extent permitted by law, we are not liable for indirect or consequential losses that were not reasonably foreseeable when the agreement was made, or for losses arising from use of the service outside the agreed purpose. This does not exclude liability where such exclusion is prohibited by law.

Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Nothing here affects your statutory rights as a consumer where those rights apply.

16. Events Outside Our Reasonable Control

Sometimes circumstances beyond our reasonable control may affect a booking or project. Examples include major service outages, interruptions to essential third-party systems, serious emergencies or events that prevent the agreed work from being carried out as planned.

If this happens, we will notify you when reasonably possible and discuss the practical options, such as changing the schedule or agreeing an alternative way forward. If a service cannot be delivered, any refund due will be handled under the agreed terms and applicable law.

17. Ending an Ongoing Service

If you have an ongoing support or development arrangement, the notice period and any remaining commitments will be set out in the relevant agreement.

If no specific notice period has been agreed, please contact us in writing to discuss ending the arrangement. You remain responsible for fees for work properly completed and any other amounts that are lawfully due under the agreement. Any refund for prepaid work that has not been delivered will be assessed against the agreed terms and applicable law.

Either party may raise a serious concern about the agreement and seek to resolve it. Where a breach can reasonably be corrected, the parties should discuss the issue and allow a reasonable opportunity to address it, unless immediate action is justified by the circumstances or required by law.

18. Questions and Complaints

If you are unsure about a fee, delivery requirement, booking condition or completed service, please contact us directly. Give us enough detail to identify the matter and explain what you would like us to review.

We aim to acknowledge complaints within 2 business days and normally provide an initial response within 5 business days. If more time is needed to investigate, we will let you know.

19. Governing Law

These terms are governed by the laws of England and Wales, subject to any mandatory legal protections that apply to you. Where you are entitled under applicable law to bring a claim in another jurisdiction or benefit from local consumer protections, nothing in this section removes those rights.

20. Changes to These Terms

We may update these terms when our services or operating arrangements change. The version applicable to a particular booking will be the version agreed for that booking, together with any specific written terms that apply to it.

If a change materially affects an ongoing service, we will provide reasonable notice where appropriate. We will not use a later update to remove rights that have already accrued or to override mandatory legal protections.

21. Contact Details

If you have questions about these terms or would like to discuss a service before confirming it, please contact us directly.
